Sales Terms & Conditions

Acceptance
The terms and conditions contained herein constitute the entire agreement between Transcom, Inc.(“Transcom”) and Buyer.
All Buyer’s orders must be indicated on a written order submitted by Buyer and accepted by Transcom.

Orders and Prices
TRANSCOM expressly limits acceptance to the prices, conditions, and written terms set forth for sale of Transcom's products. Buyer's terms
and conditions of purchase will not apply.
Any request for order cancellation, rescheduling, return, or modification must be made in writing and approved in writing by
TRANSCOM at its principal office at Tainan, Taiwan.
No cancellations, quantity decreases, or push-outs may be made within 45 days of Factory Commit Date (FCD).
For standard products, buyer may cancel and/or reschedule subject to the following limitations and charges based upon the number of days from the date TRANSCOM receives buyer's written notice of cancellation to the FCD for the cancelled products:
> Within 45 Days of FCD - No cancellations.
> Between 45 and 60 days of FCD - No cancellations, however, buyer may reschedule the line item to ship no later than 60 days from the original FCD.
> More than 60 days from FCD - Cancellation is accepted.
For non-standard products, built to buyer's specifications or pursuant to TRANSCOM's design, Buyer shall have no right to cancel at any time.
Orders for standard RF integrated circuit products ordered in non-standard tape and reel quantities are non-cancelable and non-returnable.
For order amount or shipment amount below $1000, the wire transfer fee $25 plus custom fee $20 are required and will be listed on goods invoice.
Transcom may change its pricing at any time without prior notice to customer, but such changes shall not affect any accepted orders.

Payment Terms
Unless otherwise specified, the term of payment is Remittance In Advance. Transcom reserves the right to require alternative payment terms. In the event Buyer does not pay all amounts due and owing
within allowed payment terms, Transcom shall have the right to withhold further shipments until acceptable payment is made or to cancel any unshipped order.

Delivery
Unless otherwise specified, delivery will be Ex-factory Transcom’s place of manufacture. Title and risk of loss, with respect to the products shall pass to Buyer at the point of dispatch regardless of
whether Transcom will install or supervise the installment of the products.

Returns
Claims for shortages or inaccurate filling of orders must be made to TRANSCOM within 15 days after receipt of goods. All returns must have an accompanying return authorization number issued by TRANSCOM. Returned goods will be accepted only with prior written approval from TRANSCOM and must be returned in unused, resaleable condition and in the original packaging and must be at the current revision level.
TRANSCOM may charge a reasonable restocking charge on any items which it accepts that are returned for credit or exchange when the error is not TRANSCOM's.

Warranties
TRANSCOM warrants each new product against defects in materials and workmanship for 1 year after goods invoice date. Upon TRANSCOM' confirmation of defects, TRANSCOM agrees, as its EXCLUSIVE REMEDY to repair or, in its discretion, replace defective
produce without charge. TRANSCOM is not responsible for product damage resulting from accident, misuse or lack of reasonable care.
